General Terms and Conditions of Business of PALFINGER AG for the PALFINGER Extranet Shop

General provisions:

1.1 PALFINGER AG, Lamprechtshausener Bundesstraße 8, A-5101 Bergheim, Austria, Commercial Register No. FN 33393 h, regional court of Salzburg (hereinafter referred to as "PALFINGER"),
operates the PALFINGER Extranet shop; Commercial customers (hereinafter referred to as “Customer”) can order advertising material around the clock in the PALFINGER Extranet shop.

1.2 All Extranet shop orders, goods and services of PALFINGER regarding the Customer are subject to the general terms and conditions of business set out herein (hereinafter referred to as
"GTC"). On executing an order, the Customer recognises these GTC as legally binding. No general
terms and conditions of business of the Customer shall apply in any case.

1.3 PALFINGER reserves the right to make changes at any time to these GTC; the Customer accepts, upon ordering, the GTC in the version published on the Extranet shop..

1.4 Changes and amendments to contracts concluded on the basis of these GTC must be made in
writing to be legally effective; the same applies to any departure from the requirement of the written
form. Verbal collateral agreements shall have no legal effect.

1.5 Should individual provisions of these GTC or of a contract supplemented by these GTC be or
become ineffective, then the validity of the other provisions shall not be affected thereby and the
remainder of the contract and of the GTC shall remain effective for both parties. It is agreed that, in
place of the ineffective provision, a provision shall automatically apply that best fulfils the intended
purpose of the ineffective provision.

1.6 For all disagreements and legal disputes relating to the business relationship of the parties,
Austrian substantive law shall exclusively apply, with the exclusion of the UN Sale of Goods Convention and the exclusion of the provisions of international private law .

1.7 The application of the E-Commerce law (ECG) is excluded.

1.8 The place of performance is Salzburg, Austria; for all disputes arising from the legal relationship
of the parties, the only court of jurisdiction shall be the competent court with subject matter and local jurisdiction for the city of Salzburg.

2. Conclusion of contract:

2.1 The presentation of goods by PALFINGER in the Extranet shop must not be seen as a binding
request for entering into a contract. It is a non-binding invitation for the Customer to order goods at
the Extranet shop.

2.2 After the Customer properly fills out and submits the order, he will be noticed by PALFINGER of
the receipt of the order by e-mail. Through this receipt a contract for goods shall not come into being. A contract will be concluded once PALFINGER confirms expressly the acceptance of the order
or delivers the ordered goods.2.3 All offers published in the Extranet shop are only valid while
stocks last. PALFINGER reserves the right to reject orders or reduce the quantities of an order
without stating reasons therefor (in particular if the goods ordered are not in stock). In such cases,
the Customer shall be informed of this forthwith.

2.4 PALFINGER is entitled to part delivery, as well as to partial billing.

2.5 The right of withdrawal by the Customer is excluded.

3. Prices and terms of payment:

3.1 The prices stated in the order form shall apply for the order. The right is reserved to make
changes to prices, in particular where there has been an error.

3.2 The Customer acknowledges that payment must be made by bank transfer, unless otherwise
stated on the invoice,within 30 days (without deduction) upon receipt of the invoice. A different
payment option is not designated.

3.3 In the event of delayed payment, the purchaser is obliged to pay interest on arrears at a rate
which is 8% higher than the valid „rediscount-rate“ of the Austrian Nationalbank. PALFINGER has
the right to send invoices to the purchaser electronically.

3.4 In the event of delayed payment, the purchaser is obliged to relay in full all reminder expenses,
costs and cash outlays with respect to the collection of the purchase price. PALFINGER may not
under any circumstances incur costs of any nature in the collection of outstanding accounts.

3.5 PALFINGER is entitled to hold delivery until full payment of the total purchase price has been
made

3.6 The practice of right of retention or setoff of counterclaims shall not be reserved for the purchaser. In particular, warranty or guarantee claims may not serve as reason for the retention of
payments due.

4. Retention of title:

4.1 The goods shall remain the exclusive property of PALFINGER until they have been paid for in
full, including all additional charges.

5. Delivery:

5.1 The goods will be delivered ex-works. The Customer will bear the costs of shipping and all additional packaging (e.g. wooden shipping crates).

5.2 All taxes, duties and other charges are to be borne by the Customer.

5.3 From the time of handover of the goods to the carrier, the Customer shall bear the risk for the
goods. This also applies to partial shipments. If the Customer refuses to take delivery of the goods
shipped, PALFINGER shall be entitled to withdraw from the contract after an additional period of
two weeks and to claim damages for non-fulfilment of the contract; alternatively, PALFINGER shall
be entitled to hold the goods at the cost of the Customer and insist on completion of the contract of
sale.

5.4 PALFINGER shall do the utmost to uphold the confirmed delivery periods. In the event of a failure to comply with such term of delivery, the Customer shall nevertheless not be entitled to claim
compensation for damages.

6. Guarantee and compensation for damages:

6.1 In all cases, the legal provisions relating to guarantees and compensation for damages shall
apply.


6.2 The period of guarantee is limited to 6 months from dispatch.


6.3 The Customer is obliged to make an immediate and proper inspection of goods delivered.
Claims for defects must be made within 5 workdays of being detected and must be accompanied
by a precise description (incl. photograph) of the defect by email to: promotion@palfinger.com.
Should the Customer not meet this obligation within the time stipulated, then a warranty claim for
such defects is invalid. The same legal implications also apply for defects occurring at a later date
whereby PALFINGER shall also be notified.

6.4 If the defect is rectified by PALFINGER, there shall be no extension of the originally agreed
warranty period of 6 months.

6.5 No specific characteristics of the contract goods are guaranteed by PALFINGER unless such a
guarantee is made expressly in writing. PALFINGER accepts liability only for defects in the goods
themselves and not for further damages arising therefrom.

6.6 PALFINGER accepts no liability for damages caused by ordinary negligence; furthermore,
there shall be no liability for compensation for pecuniary loss alone, loss of profits, loss of data or
for damages arising from claims of third parties against the Customer.

6.7. In particular, there shall be no liability in respect of claims of any kind in the event of the failure
or malfunction of the PALFINGER servers or of any destruction of the order.

6.8. Moreover, claims for compensation for damages shall be limited to an amount equalling three
times the purchase price of the goods in question.

7. Copyright:

7.1 All content of the PALFINGER website (in particular images and texts, including these GTC)
shall remain the intellectual property of PALFINGER. Any utilisation of this content beyond use
within the context of the online shop requires the prior written consent of PALFINGER.

8. Data protection and security:

8.1 PALFINGER is entitled, within a computerised system, to process, store and utilise the data
necessary for business purposes provided by the Customer in relation to the order; PALFINGER is
entitled to pass this information directly on to affiliated companies and subcontractors for utilisation,
in particular for reasons of market research, etc.

8.2 PALFINGER will consider the regulations of the data protection act (DSG) and shall adopt the
usual measures to protect the data it stores. PALFINGER shall, however, not be responsible in the
event that someone manages to access this data unlawfully and make further use thereof. Claims
for compensation by PALFINGER for damage to the Customer or third parties in this connection
are excluded.

8.3 PALFINGER reserves the right to disconnect any Customer physically and/or logically from the
Extranet immediately and without prior warning if there is justified suspicion that network activity is
being carried out from their connection that represents a security or operational danger to
PALFINGER or to other computers or is illegal or a nuisance. The costs of detecting and tracking
the activity, of disconnection and of any repairs shall be charged to the Customer at the hourly
rates normally charged by PALFINGER at the time in question. In such cases, there shall be no liability of PALFINGER arising from the disconnection from the Extranet.

8.4 PALFINGER accepts no liability for the content, completeness or correctness of data transmitted or queried, or for data that can be called up via PALFINGER. PALFINGER makes no guarantee
that the services offered will always be accessible or that data stored on the computers of
PALFINGER will remain there.

9. Cookies:

9.1 When the Customer visits the Extranet shop, PALFINGER may place files called “cookies”,
which are text files that are stored on the Customer’s computer and enable his use of the website
to be analysed, in the browser directory of the Customer’s computer’s hard drive for later retrieval.
The cookies placed on his computer by PALFINGER enable the Site to recognize him as a prior
user, provide the Site with information regarding his prior use, and otherwise assist PALFINGER in
making the Site more beneficial to him. PALFINGER uses so-called permanent cookies that are
saved on the Customer’s browser until he deletes them, and so-called session cookies that are automatically deleted when the Customer’s browser is closed. His web browser may provide him with
the ability to not accept cookies, as well as the ability to delete already-existing cookies. Refusing
or deleting cookies may limit the Customer’s ability to take advantage of some features of the Site.
PALFINGER does not use cookies to examine other web sites the Customer may have visited before or after leaving the Site.

9.2 The website of the Extranet shop uses cookies to optimize the provision of information and content. By using PALFINGER’s web pages, the Customer declares his consent for PALFINGER to
use these cookies. If the Customer continues browsing without changing his browser settings,
PALFINGER will assume that the Customer consents to all cookies used on the web page.

10. GOOGLE Alanytics:

10.1 The website of the Extranet shop uses Google Analytics, a web analysis service of Google
Inc. ("Google"). Google Analytics uses "cookies”. Normally, the information on the Customer’s use
of this website that is generated by such cookie is transmitted to a Google server in the USA, and
stored there. If IP anonymisation has been activated on this website, however, the Customer’s IP
address shall be shortened beforehand by Google within member states of the European Union or
in any other contracting state to the Agreement on the European Economic Area. Only in exceptional cases shall the Customer’s full IP address be transmitted to a Google server in the USA and
be shortened there. Google shall, on behalf of the operator of the website, use this information in
order to evaluate the Customer’s use of the website, put together reports on website activities and
render in relation to the website operator further services in connection with use of the website and
the Internet. The IP address transmitted by the Customer’s browser under Google Analytics shall
not be combined with other Google data. The Customer can prevent the storage of cookies by setting his browser software accordingly. The Customer should note however that, in such case, he
may possibly be unable to fully use all functions of this website. Moreover, by downloading and installing the browser plug-in available under the following link, he can prevent data (including your
IP address) generated by such cookie, relating to his use of the website, from being captured and
transmitted to Google and being processed by
Google: http://tools.google.com/dlpage/gaoptout?hl=en.

11. Notices:

11.1 Notices to PALFINGER in relation to the PALFINGER Extranet shop shall, unless otherwise
